Forming and Operating Small Businesses — Negotiating the Legal Landscape

This class focuses on the legal questions and challenges that arise in the formation and operation of a small business. Time permitting, there will also be a question and answer period in which we can address other small business legal issues of interest to the group.

Class covers:

  • Selecting and forming an entity and implementing protections from liability (Should I form an LLC, an S-corporation or something else?);
  • Founders’ Agreements (What arrangements need to be discussed and included in an agreement among founders or co-owners of a business?);
  • Contracts with customers and vendors (What are some critical provisions and things to avoid?);
  • Independent Contractors vs. Employees (How to evaluate which category is appropriate? Why can’t I have interns?).
